1. Establish an account at a licensed intermediary often called a broker-dealer firm if you do not already have an account.
2. If you already have an account, produce your Registry Statement (received from the Eastern Caribbean Central Securities Depository (ECCSD)) to show your Investor ID, Account Number and a government-issued photo ID. 
3. Give the broker-dealer the details of your sell order, i.e. the number of shares you want to sell and the price you wish to sell your shares. If you are not sure of the price, you could consult the broker-dealer regarding the latest price at which the security traded on the ECSE, which you may use as a guide.
4. If your sell order is successful, the broker-dealer will contact you and provide a confirmation statement with details of your trade.

A shareholder may wish to make changes to information on record, including,

• Name
• Mailing address
• Add/change his email address
• Add/change payment option details

To do this, a Registry Account Maintenance form should be completed. The form is available on the ECSE website (www.ecseonline.com ) and at the local licensed broker dealer. The completed form should be notarized and submitted with a notarized copy of a valid government-issued photo ID to the ECCSD. However, in lieu of notarization, the form may be completed in the presence of a principal of a licensed broker-dealer and duly signed and stamped by the principal before submitting to the ECCSD.

In the case of a change of name, the relevant supporting documentation, such as a deed poll, marriage certificate, divorce decree, etc, must also be submitted with the form. When completed, the form and supporting documents can be emailed to the ECCSD at [email protected].

Dividend may not have been collected for different reasons, commonly due to non-receipt of correspondence because of incorrect address, and stale-dated cheque.

To update contact information, follow the procedure previously outlined for changes to shareholder information. This will ensure that dividend cheques reach your specified address. Dividend cheques issued prior to shareholder information update would have gone to the address that was on record. To claim dividend, the cheque will need to be presented to your bank, if less than six (6) months old. If stale-dated, ie, older than six (6) months, it will need to be presented to ECCSD.

Stale-dated dividend cheques may be updated by the ECCSD. The cheque, government issued photo ID and a completed Registry Account Maintenance form requesting a change of the cheque’s date may be sent to the ECCSD at the following mailing address:

The form and ID must be notarized and may be scanned and sent via email to [email protected] in advance of mailing the hardcopies, to expedite the investigation of the shareholder’s claim. Additionally, a shareholder may update his information on record to have dividend payments be made via direct deposit to his bank account.  

There is ranking of rights for the three main classes of securities issued by a company. During insolvency proceedings, the creditors are the first to have their outstanding debts paid from the company’s assets. These are then followed by bondholders, preferred shareholders and then common shareholders.

TDC has issued 52 million common shares. Its common shareholders have several rights, including

• Voting power on major issues
• Ownership in a portion of the Company
• The right to transfer ownership
• Entitlement to a portion of dividends paid
• The right to attend Annual General Meeting (AGM)
• The right to examine the basic records of the Company, such as Articles of Association, Articles of Incorporation, Minutes of AGM and published Financial Reports.

Article 146 of the Company’s Articles of Association (available on the website) indicates that the directors may present the Statement of Income and Expenditure, Balance Sheet, Report of the Directors, and the Auditors Report in a format they determine, including electronically. These documents are provided electronically to save on printing costs and reduce the Company’s impact on the environment. However, if a Shareholder needs a hardcopy of the documents indicated, he must make a request through the Company Secretary.     

Information about the Company may be accessed from different sources. A Shareholder may request copies of documents filed by the Company from the Companies Registry. These documents include Articles of Incorporation and Articles of Association. Information on the Company’s performance may be accessed on the Company’s website at www.tdcgrouplimited.com, where one will find the Annual Report and quarterly filings of the Group Consolidated Accounts. Minutes of the AGM may be requested from the Company Secretary.

Articles 168-174 of the Company’s Articles of Association (available on the website) provides for each stakeholder, including Shareholders, to interface electronically with the Company. This includes the voting, communicating at the AGM and sending to and receiving communication from the Company.
